Please carefully read the following terms:
1. Service Overview. Our platform provides a set of online database design and code generation tools to help developers write code more easily and efficiently (the "platform"). We also provide a limited version of the platform to anyone (with or without an account) through our website.
2. Your registration and use of services comply with any and all applicable laws and regulations. If you are an entity, organization, or company, the individual representing you accepts these terms and warrants that they have the right to bind you to these terms, and you agree to be bound by these terms.
3. Account and registration. To access most of the features of the service, you must register an account. When you register an account, you may need to provide us with some information about yourself, such as your name, email address, or other contact information. You agree that the information you provide us is accurate, complete, and not misleading, and you will always keep it accurate and up-to-date. When you register, the system will ask you to create a password. You are fully responsible for maintaining the confidentiality of your account and password, and you are responsible for all activities occurring under your account. If you believe that your account is no longer secure, you should immediately pass the [email protected] Notify us.
4. softfactory may provide trial or beta versions or service features (all referred to as "beta services") from time to time. Any beta services are provided "as is" without any warranty.
5. License
5.1. Limited License. On the premise that you fully and continuously comply with these terms, softfactory grants you a limited, non-exclusive, non transferable, non sublicenseable, and revocable license for your personal use only
5.2. License Restrictions. Unless and only to the extent that such restrictions are not permitted by applicable law, you shall not: (a) copy, distribute, publicly display, perform, or create derivative works of the service; (b) Make modifications to the service; (c) Any function that interferes with or circumvents services, including any security or access control mechanisms. If applicable law prohibits you from using this service, you may not use it.
5.3. Feedback. We respect and thank users for their ideas and comments. If you choose to provide feedback and suggestions regarding existing features, service issues, or proposed modifications or improvements ("Feedback"), you hereby grant softfactory an unrestricted, permanent, irrevocable, non-exclusive, fully paid royalty - the right to use feedback in any way and for any purpose, including improving the service and creating other products and services. We are not obligated to provide attribution information for any feedback you provide us.
6. Ownership; Exclusive Rights. This service is owned and operated by softfactory. The visual interface, graphics, design, compilation, information, data, computer code (including source or object code), products, software, services, and all other service elements ("materials") provided by softfactory are protected by intellectual property rights. Property law and other laws. All materials included in the service are the property of softfactory or its third-party licensors. Unless explicitly authorized by softfactory, you are not allowed to use these materials. There is no implied license in these terms, and softfactory reserves all rights to materials not explicitly granted in these terms.
7. Third Party Terms
7.1. Third party services and linked websites. softfactory may use service delivery tools to enable you to export information (including user content) to third-party services. By using one of these tools, you hereby authorize softfactory to transfer this information to applicable third-party services. Third-party services are not controlled by softfactory, and to the maximum extent permitted by law, softfactory is not responsible for any third-party services using the information you export. The service may also include links to third-party websites. The linked website is not controlled by softfactory, and softfactory is not responsible for its content. Before sharing any user content or information with third-party services, please be sure to review the terms of use and privacy policies of any third-party services. Once sharing occurs,
7.2. Third party software. This service may include or merge third-party software components, which are typically provided free of charge under a license, granting recipients broad rights to copy, modify, and distribute these components ("third-party components"). Although this service is provided to you in accordance with these terms, nothing in these terms will prevent, restrict, or be intended to prevent or restrict you from obtaining third-party components under applicable third-party licenses, nor will it limit your use of these third-party licensed components.
8. User Content
8.1. General user content. Some features of the service may allow users to submit, upload, publish, broadcast, or otherwise transmit ("publish") content to the service, including folders, data, text, and any other original or other works ("user content"). You reserve any copyright and other proprietary rights that you may hold in the user content you publish to the service, subject to the licenses granted in these terms.
8.2. Limited license granted to softfactory. By publishing user content to or through the service, you grant softfactory a global, non-exclusive, irrevocable, royalty-free, and fully paid right and license (with the right to use multiple sublicenses) to host, store, copy, and modify user content for the purpose of formatting, displaying, and transmitting user content in each case (whether known now or developed in the future) in accordance with these terms. You agree to pay all amounts owed to any individual or entity due to the publication of your user content and the exercise of the permissions specified in this section by softfactory.
8.3. You must have the right to the content you publish; User Content Representations and Warranties. If you are not the owner of all elements of user content or do not fully authorize the granting of rights to all elements of user content, you may not publish user content. softfactory does not assume any and all responsibilities related to user content. You are fully responsible for your user content and the consequences of providing user content through the service. By providing user content through services, you confirm, declare, and guarantee to us that: (a) You are the creator and owner of user content, or have the necessary licenses, rights, consent, and licenses to authorize softfactorys and service users to use and distribute your user content as needed to exercise the licenses you have granted in this section, in the manner specified in softfactorys, services, and these terms; (b) Your user content and the publication or other use of your user content contemplated by these terms will not and will not: (i) infringe, violate, misappropriate, or otherwise violate any third-party rights, including any copyright, trademark, patent, trade secret, moral right, privacy, disclosure right, or any other intellectual property, contract, or exclusive right; (ii) defamation, defamation, defamation or infringement of the privacy, publicity or other property rights of any other person; (iii) causing softfactory to violate any laws or regulations, or requiring us to obtain any further licenses or pay any royalties, fees, compensation or other amounts from any third party, or to provide any attribution to any third party; and (c) Normal people should not consider your user content to be offensive, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.
8.4. User Content Disclaimer. We have no obligation to edit or control user content published by you or other users, and we will not assume any responsibility for user content in any way. However, softfactory can filter, delete, edit, or block user content that violates these terms, is suspected of infringing on third-party rights, or is otherwise objectionable at any time without prior notice. You understand that when using this service, you will be exposed to user content from various sources and acknowledge that user content may be inaccurate, offensive, indecent, or offensive. You agree to waive and do waive any legal or fair rights or remedies that you have or may have in relation to user content with softfactory. If the user or content owner notifies the user that the content allegedly does not comply with these terms, we may investigate the allegations and decide whether to delete the user content at our own discretion. We reserve the right to delete the user content at any time without prior notice. For clarity, softfactory does not allow infringement activities on the service.
8.5. Monitoring content. softfactory does not control or have any obligation to monitor: (a) user content; (b) Any content provided by a third party; (c) The user's use of the service. You acknowledge and agree that softfactory reserves the right to monitor any and all information transmitted or received through the service at any time for operational and other purposes. If softfactory chooses to monitor content at any time, softfactory shall still not be liable or obligated for any loss or damage caused by the content or its use. During the monitoring process, information may be checked, recorded, copied, and used in accordance with our privacy policy (as defined below). softfactory can block, filter, mute
9. Using user content to improve services
9.1 Use automatic completion of user content to improve services. We may use your automated user content to improve our discriminative machine learning models, which rank or assign scores to code generation to understand the boundaries between different code sets. We will never use your AutoComplete user content to improve the generation of machine learning models, which can generate code directly based on existing research for AutoComplete or other services. Any automatically completed user content used to train our discriminatory machine learning model is anonymous in order to delete any personally identifiable information. To choose not to use your AutoComplete user content for such purposes, you can send an email to [email protected] Or change the code sharing options in the "User Settings" pane of the user profile page. Please note that if you choose to exit, your autocompleted user content will be sent to our server so that we can provide you with services, but we will not retain your autocompleted user content on our server to train our discriminatory machine learning model.
9.2 Use chat user content to improve services. We may use your chat user content to improve our generative and discriminative machine learning models. Any chat user content used to train our machine learning model is anonymous in order to remove any personally identifiable information. To choose not to use your chat user content for such purposes, you can send an email to [email protected] Or change the code sharing options in the "User Settings" pane of the user profile page. Please note that if you choose to exit, you will not be able to use the chat service.
10. Use data. softfactory may collect, generate, and export usage data for its legitimate commercial purposes, including: (1) monitoring, operating, improving, and supporting services and their performance, security, and stability; (2) Create analysis, benchmark testing, performance data, and reports; (3) Develop new products and services. You will not interfere with the collection of usage data. softfactory has all rights, ownership, and interests, including the use of data, proprietary technology and analysis results generated during the processing and use of data, as well as all intellectual property rights to any and all new products, services, and content. Develop, modify, customize, or improve services based on usage data. softfactory will not disclose usage data to external parties, including in benchmark testing or reports. "Usage data" refers to any performance, analysis, or usage data or information generated or otherwise collected by the service related to accessing or using the service, but does not include user content.
11. Communication; Email. We may send you emails regarding our and third-party products and services. You can choose to exit the promotional email by following the unsubscribe instructions in the promotional email itself.
12. Prohibited behavior. By using this service, you agree not to:
12.1. Using the service for any illegal purpose or violating any local, state, national or international law;
12.2. Harassment, threat, derogation, embarrassment, bullying, or other harm to any other user of the service;
12.3. Infringe, encourage others to infringe upon any rights of third parties, or provide guidance on how to infringe upon any rights of third parties, including infringing or misappropriating any intellectual property rights of third parties;
12.4. By using any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, and data mining tools) other than the provided software or search agent to access, search, or otherwise use any part of the service through softfactory;
12.5. Security related functions that interfere with services, including: (i) disabling or circumventing functions that prevent or restrict the use, printing, or copying of any content; (ii) Reverse engineering or other attempts to discover the source code of any part of the service, unless the activity is explicitly permitted by applicable law;
12.6. Interfering with the operation of the service or the enjoyment of the service by any user, including by: (i) uploading or otherwise spreading any virus, adware, spyware, worm or other malicious code; (ii) Proactively provide any offer or advertisement to other users of the service; (iii) Collecting personal information from other users or third parties without consent; (iv) interfere with or disrupt any network, device, or server used to provide services;
12.7. Engage in any fraudulent activities, including impersonating any individual or entity, claiming false affiliation or identity, or accessing any other service account without permission;
12.8. Sell or otherwise transfer any access rights granted under this clause or any material (as defined in clause 6) or any right or ability to view, access or use any material; perhaps
12.9. Attempt to engage in any of the actions described in this Article 12, or assist or allow anyone to engage in any of the actions described in this Article 12.
13. Modification of Terms. We may change these terms from time to time. Please regularly check if there are any changes to these terms. The revision will take effect immediately, but for existing users, significant revisions will take effect 30 days after publication or notification of the revision to you, unless otherwise specified. We may require you to accept the revised terms before continuing to use the service. If you do not agree to the modified terms, you should stop using the service. Unless explicitly permitted by Article 14, these terms can only be modified through a written agreement signed by authorized representatives of each party to these terms.
14. Term, Termination, and Modification of Services
14.1. Semester. These terms shall take effect upon your acceptance of the terms or upon your first download, installation, access, or use of the service, and shall terminate upon termination as described in Article 15.2.
14.2. Termination. If you violate any of these terms, your authorization to access the service and these terms will automatically terminate. In addition, softfactory may, at its sole discretion, terminate these terms or your account on the service for any reason or without reason, with or without notice, or suspend or terminate your access to the service, without any liability to you arising from such termination. You can use the [email protected] Contact softfactory to terminate your account and these terms.
15. Disclaimer; softfactory does not provide any guarantees
15.1. This service, as well as all materials and content (including suggestions) provided through this service, are provided "as is" and on an "available" basis. softfactory disclaims any express or implied warranties of any kind related to the services and all materials and content provided through the services, including: (a) any implied warranties of merchantability, fitness for a particular purpose, ownership, quiet enjoyment, or non infringement; (b) Any guarantee arising from trading, use, or trade. softfactory does not guarantee that the service or any part of the service, or any materials or content provided through the service (including suggestions), will not be interrupted, secure, or free from errors, viruses, or other harmful components, and softfactory does not guarantee that any of these issues will be corrected.
16.2. Any advice or information (whether oral or written) obtained by you from the service or softfactory entity, or any materials or content provided through the service (including advice), shall not constitute any warranty in these terms for any softfactory entity or service that is not explicitly stated. We do not assume any responsibility for any damages that may be caused by this service or your transactions with any other service users. You understand and agree that your use of any part of this service is at your own discretion and risk, and we are not responsible for any damage or loss to your property (including computer systems or mobile devices related to this service), including user content.
16.3. The limitations, exclusions, and disclaimers in this Article 17 shall apply to the maximum extent permitted by law. softfactory does not deny any warranties or other rights that are prohibited by applicable law from being waived by softfactory.
17. Limitation of Liability
17.1. To the maximum extent permitted by law, in no event shall the executing entity be liable to you for any indirect, incidental, special, consequential or punitive damages (including loss of profits, goodwill, or any other intangible losses) caused by: or information related to your access or use or inability to access or use the service or any material or content on the service, including advice, whether based on warranty Contract, tort (including negligence), regulations or any other legal theory, and whether any entity has been informed of the possibility of damage occurring.
17.2. Except as provided in Articles 19.5 and 19.6, to the fullest extent permitted by law, the executing entity shall be fully responsible for all claims arising out of or in connection with the use or inability to use any part of the Services, whether in contract, tort or otherwise, in accordance with these terms, Limited to the higher of (a) the amount you paid for accessing and using the service within 12 months prior to the event or situation, and (b) $100.
17.3. Each provision in these clauses that specifies limitations of liability, disclaimers, or exclusions of damages is aimed at and ensures the allocation of risks between the parties under these clauses. This allocation is a fundamental element of the transaction foundation for both parties. Each of these terms is severable and independent of all other terms of these terms. Even if any limited remedy fails to achieve its basic purpose, the limitations in Article 18 will still apply.
